They want maximum recovery. Walk in knowing that.\u201d<\/em><\/strong><\/p><p>Distressed commercial real estate doesn&#8217;t announce itself. One quarter the debt is serviceable, the next the market&#8217;s shifted, valuations have moved, and you&#8217;re staring at a lender conversation you didn&#8217;t plan for. How that conversation goes and who you are in it determines more than investors want to admit.<\/p><p>There&#8217;s a playbook a lot of borrowers default to when things get hard: stay quiet, hire a lawyer, and prepare for a fight. It feels like strategy. It&#8217;s usually the first step toward a worse outcome.<\/p><p><strong>The Counterparty Problem<\/strong><\/p><p>Every lender is not the same. A community bank carrying a distressed note on its books operates under entirely different pressures than a CMBS servicer managing obligations to bond investors. A private lender has different flexibility than either.<\/p><p>When you walk into a negotiation without understanding which version of &#8220;lender&#8221; you&#8217;re dealing with, you&#8217;re not negotiating, you&#8217;re guessing.<\/p><p>The first real skill in distressed CRE isn&#8217;t financial modeling. It&#8217;s accurately reading who&#8217;s on the other side and what they actually need out of this situation. Their constraints aren&#8217;t obstacles to your deal, they&#8217;re a map to work with.<\/p><p><strong>The Disclosure Trap<\/strong><\/p><p>The instinct to withhold information \u2014 to protect leverage, to avoid tipping your hand \u2014 backfires consistently in workout situations. Lenders have seen the numbers. They know what the asset is worth. What they don&#8217;t know is whether you&#8217;re someone they can work with.<\/p><p>Full disclosure, delivered with context and a credible path forward, builds the kind of trust that creates room for solutions. Partial disclosure builds suspicion. And once a lender decides you&#8217;re not being straight with them, the conversation effectively ends even if the meetings keep happening.<\/p><p><strong>Optionality is Leverage<\/strong><\/p><p><strong>One of the most underused concepts in distressed commercial real estate negotiation is optionality \u2014 not threatening your lender with your options, but genuinely developing them.<\/strong><\/p><p>When you arrive with only one path, you&#8217;re not negotiating. You&#8217;re asking for a favor.<\/p><p>Whether it&#8217;s a refinance path, a partial payoff, a deed-in-lieu, a structured extension \u2014 having multiple viable options changes your posture in the room. You become a problem-solver, not a supplicant. Lenders respond to that differently every time.<\/p><p><strong>When the Market is the Variable<\/strong><\/p><p>Today&#8217;s CRE environment is not forgiving of passive strategies.
